Empresa de Energía del Pacífico EPSA S.A. E.S.P. (“EPSA”) acquired from Celsia S.A. E.S.P.: two operational Hydroelectric Plants (Hidromontañitas and Rio Piedras) located in Antioquia, Colombia; one Hydroelectric construction project (San Andres) located in Antioquia, Colombia; more than 15 real estate properties for the construction of solar energy farms located in Bolívar, Santander and Tolima, Colombia and the majority of the issued and outstanding shares of Begonia Power S.A.S. E.S.P., a corporation duly organized under the laws of Colombia, which will carry out a wind energy project with the construction of wind farms located in La Guajira, Colombia.
The transaction also involved the subscription of a representation agreement between EPSA and Celsia to buy energy and operate a Thermoelectric Plant (Meriléctrica) located in Santander, Colombia and represented Celsia before the Colombian energy market. The value of this transaction was COP 650 billion.
