Avianca´s DIP Financing and Reorganization Plan

Gómez-Pinzón Abogados S.A. served as local counsel to Avianca Holdings S.A. during its process to obtain US$2 billion of DIP Financing upon filing in May 2020 a request for protection under Chapter 11 of the U.S. Bankruptcy Code before the bankruptcy court in the Southern District of New York (the “Court”). The Court issued an order (the “DIP Order”) on October 2020 authorizing Avianca and some of its subsidiaries to obtain the DIP Financing and to provide liens on substantially all its tangible and intangible property.
Subsequently, the firm acted as Colombian counsel to Avianca during the offering of two tranches of its USD$1,695,807,454 senior secured notes due 2028 (the “Exit Offering”). The Exit Offering was completed as part of the plan of Avianca Holdings S.A. and some of its affiliates to exit reorganization under Chapter 11 of the United States Bankruptcy Code (the “Reorganization Plan”), which was confirmed on November, 2021 by the United States Bankruptcy Court for the Southern District of New York. Our advice also included other matters of Colombian law for the implementation of the Reorganization Plan.
