Gómez-Pinzón provided local counsel to Citigroup Markets Inc. and J.P. Morgan Securities LLC (as the guarantors) in a liability management transaction consisting of two stages: (i) the issuance, under Rule 144A/Reg S, by Bancolombia S.A. of subordinated notes for up to USD $550 million at a rate of 4.625%, maturing in 2029 ; these resources were used in connection with a liability management transaction for the repurchase of its subordinated notes at a 6.125% rate maturing in 2020 and subordinated notes at a 5.125% rate maturing in 2022 and, (ii) the issuance by Bancolombia S.A., under Rule 144A/Reg S, of senior notes for up to USD $950 million at a 3.000% rate maturing in 2021; these resources were used in connection with a liability management transaction for the repurchase of its senior notes at a 5.950% rate, maturing in 2021 and for other corporate purposes.
