The transaction consists in the sale by the sellers of Clínica Chía S.A., a health services provider institution that operates in the Colombian departments of Cundinamarca and Boyacá (the “Company”), pursuant to which the buyer, Avidanti S.A.S., an affiliate of the Brazilian Private Equity Fund, Patria Investments Ltd., purchased 100% of the shares of the Company. The Company has a history of more than 25 years in the health care business. Clínica Chía S.A. had twenty-eight (28) shareholders, all of which were represented by Gómez-Pinzón Abogados S.A.S. The transaction also includes the exclusion of the real estate property where the Company operates and the execution of a long-term lease agreement for such real estate property upon its transfer to a trust to be established by the sellers.
