Purchase agreement between Exxonmobil Corporation and Copec/Terpel

Advice to Exxon Mobil Corporation on a share purchase agreement entered into by Mobil Petroleum Overseas Company Ltd. and Exxonmobil Ecuador Holding B.V. (Sellers) and Compañía de Petróleos de Chile Copec (Buyer) pursuant to which ExxonMobil sold its lubricants and fuels business in Colombia, Ecuador and Peru by transferring its stake in ExxonMobil Andean Holding LLC and its subsidiaries, as well as in ExxonMobil Ecuador, to the Buyer. The transaction included the transfer of the lubricant distribution business in Ecuador and of the aviation fuel distribution business in Peru. This agreement authorized COPEC to transfer its distribution rights to its subsidiaries, including Organización Terpel S.A. (“Terpel”). The advice included the negotiation, structuring (from the Competition regulation perspective) and the approval process by the local authorities (SIC).
