Gómez-Pinzón Abogados acted as local counsel to Prime Colombia Barranquilla S.A.S. and Prime Energía Colombia S.A.S., subsidiaries of EnfraGen LLC, as guarantors, and to Enfragen Energía Sur S.A.U., Enfragen Spain S.A.U. and Prime Energía SpA, as borrowers, in the refinancing of the existing debt of several companies of the Glenfarne Group in different jurisdictions by means of a credit agreement. The refinancing also included the issuance of notes in the international market under the rule 144A/Reg S of US. The refinancing implied the granting of multiple security interests over all of the assets of the Colombian companies and the coordination of activities with the parties to the existing debt and the parties to the refinancing.
